Welcome to btaTimecard! By accessing or using our subscription-based software as a service ("Service"), you agree to comply with and be bound by these Terms of Use ("Terms"). Please read them carefully. If you do not agree, you may not use the Service.

1. Acceptance of Terms

1.1 By creating an account, subscribing, or using the Service, you acknowledge that you have read, understood, and agree to these Terms.

1.2 If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Your Account

2.1 Account Creation: You must provide accurate and complete information when creating an account.

2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

3. Subscription and Payment

3.1 Subscription Plans: Access to the Service is provided on a subscription basis, as outlined on our pricing page.

3.2 Payment Terms: Payments are due in advance and are non-refundable, except as required by applicable law or specified in these Terms.

3.3 Auto-Renewal: Subscriptions automatically renew at the end of the billing cycle unless canceled. You may cancel your subscription at any time via your account settings.

3.4 Price Changes: We will provide at least 30 days notice of any price changes.

4. Permitted Use

4.1 License: We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

4.2 Restrictions: You may not:

•   Resell, sublicense, or distribute the Service.

•   Use the Service for unlawful purposes.

•   Reverse engineer or attempt to extract the source code.

5. User Content

5.1 Ownership: You retain ownership of any data or content you upload to the Service ("User Content").

5.2 License to Us: By using the Service, you grant us a license to use, store, and process your User Content solely to provide and improve the Service.

5.3 Responsibility: You are responsible for ensuring that your User Content complies with applicable laws and does not infringe on any third-party rights.

6. Privacy & Data Security

6.1 Our collection, use, and storage of your information are governed by our Privacy Policy.

6.2 Security Measures: We implement reasonable technical and organizational measures to protect your data against unauthorized access, loss, or disclosure. However, no system is completely secure, and we cannot guarantee absolute security.

6.3 Breach Notification: In the event of a data breach that affects your account, we will notify you promptly and in accordance with applicable law.

6.4 Third-Party Processors: We use trusted third-party service providers (including for payment processing) to operate the Service. These providers may access your data solely to perform services on our behalf and are bound by their own privacy and security obligations.

6.5 Data Retention After Cancellation: Upon cancellation or termination of your account, we will retain your data for a limited period to allow for any final exports or disputes. After that period, your data will be permanently deleted from our systems, except where retention is required by law.

6.6 Data Export: You may export your data at any time during your active subscription via the account settings or by contacting us at support@btanalytics.io.

7. Service Availability

7.1 Uptime: We strive to maintain high availability but do not guarantee uninterrupted access to the Service.

7.2 Maintenance: We may perform scheduled maintenance, and we will provide advance notice whenever possible.

7.3 Changes: We reserve the right to modify or discontinue the Service with reasonable notice.

8. Termination

8.1 Termination by You: You may cancel your subscription at any time. Your access to the Service will continue until the end of the billing cycle.

8.2 Termination by Us: We may suspend or terminate your account if you violate these Terms.

8.3 Effect of Termination: Upon termination, your access to the Service will end, and we may delete your User Content after a reasonable period unless prohibited by law.

9. Limitation of Liability

9.1 To the extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service.

9.2 Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

9.3 Software as a Tool: The Service is a software tool designed to help you record and manage data. It does not constitute legal advice and is not a substitute for compliance with applicable federal, state, or local laws.

9.4 User Responsibility for Legal Compliance: You, as the account owner or administrator, are solely responsible for ensuring that your use of the Service — including how data is recorded, approved, and reported — complies with all laws and regulations applicable to your business, including wage and hour laws, overtime regulations, break requirements, and recordkeeping obligations in your jurisdiction.

9.5 No Liability for Compliance Failures: We are not liable for any penalties, fines, claims, or damages arising from your failure to comply with applicable laws, regardless of whether the Service was used in connection with the underlying records.

9.6 Consult a Professional: If you have questions about your legal obligations, we recommend consulting a qualified attorney or relevant professional.

10. Dispute Resolution

10.1 Governing Law: These Terms are governed by the laws of Colorado.

10.2 Arbitration: Any disputes will be resolved through binding arbitration, unless prohibited by law.

10.3 Opt-Out: You may opt out of arbitration within 30 days of accepting these Terms by providing written notice to support@btanalytics.io.

11. Miscellaneous

11.1 Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and us.

11.2 Severability: If any provision of these Terms is found to be invalid, the remaining provisions remain in effect.

11.3 Waiver: Our failure to enforce any right under these Terms does not constitute a waiver of that right.

11.4 Additional Terms: Certain features or programs, such as the referral program, may be subject to additional terms. By participating in any such program, you agree to those additional terms, which are incorporated into and form part of these Terms.
